Welcome to e-Porte Systems. These Terms of Service (“Terms”) govern your use of our website, services, and any communications with our team. By accessing our site or engaging with our services, you agree to comply with and be bound by these Terms. If you do not agree, please do not use our services.

1. About e-Porte Systems e-Porte Systems is a full-service digital marketing agency based in Lagos, Nigeria. We serve clients across Nigeria, Africa, and globally. Our offerings include but are not limited to:
  • Custom WordPress Website Design & Development

  • Web & Local Search Engine Optimization (SEO)

  • Google, Facebook, Instagram, TikTok, LinkedIn, and Twitter Ads Management

  • Landing Pages and Sales Funnel Development

  • AI Sales Automation, WhatsApp API Integration & CRM Setup

  • Website Maintenance, Monitoring, and Security

2. Acceptance of Terms By using our website, contacting our team, signing a proposal, or submitting payment, you agree to be legally bound by these Terms. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that business to this agreement.

 

3. Service Engagement Process Our service engagement typically includes:

  • An initial discovery call or email consultation

  • A customized proposal detailing deliverables, timeline, and pricing

  • A signed agreement or digital acceptance of proposal

  • An upfront payment (usually 70%) to commence work

  • Project execution, reviews, and testing

  • Final payment upon delivery before transfer of full ownership or deployment

 

4. Payments, Invoicing & Currency

  • We accept payments in Nigerian Naira (NGN) or U.S. Dollars (USD), depending on client location.

  • Payment gateways, bank transfers, or PayPal may be used depending on project scope.

  • Projects begin only after an initial deposit is received.

  • Retainer services are billed monthly in advance.

  • All invoices must be settled by the due date to avoid service delays.

Refunds:

  • Payments are non-refundable once the project has commenced.

  • If a project is canceled by the client before completion, a final invoice will be issued for work completed to date.

  • No refunds are issued for digital products, strategy sessions, or consulting hours already used.

 

5. Project Timelines & Communication

  • Project duration depends on the agreed scope and client responsiveness.

  • e-Porte is not liable for delivery delays caused by late approvals, missing assets, or prolonged feedback gaps.

  • Communication will be managed through email, WhatsApp, Zoom, or project management tools.

  • Clients must provide final approvals within 5 working days of receiving updates or deliverables.

 

6. Client Responsibilities The client is responsible for:

  • Supplying required materials such as brand assets, product info, written content, and images

  • Granting access to hosting accounts, domain registrars, email platforms, or third-party tools

  • Timely feedback and approvals during the project

  • Ensuring that all materials provided do not infringe on copyrights or third-party rights

Failure to provide requested materials or feedback on time may result in delayed delivery or additional charges.

 

7. Intellectual Property & Usage Rights

  • All original work created by e-Porte remains our intellectual property until the final payment is received.

  • Upon full payment, ownership of the final approved deliverables (website files, graphics, copy) is transferred to the client.

  • We reserve the right to showcase projects in our portfolio, on social media, or in case studies unless confidentiality is requested in writing.

  • We retain the right to use non-final drafts or concept work for internal training or education.

 

8. Revisions & Scope Adjustments

  • Each project includes up to 2 rounds of revisions unless otherwise stated.

  • Revisions must be requested within 5 working days of delivery.

  • Revisions must stay within the original scope; requests that add new features, pages, or functionality may require a change order and additional fee.

 

9. Website Maintenance Terms For clients subscribed to a maintenance plan:

  • Updates to WordPress core, plugins, themes, and minor content changes are included.

  • Monthly edits are limited by the plan and reset every month.

  • Malware protection, uptime monitoring, and site backups are part of our Pro and Elite plans.

  • Downtime caused by hosting, DNS changes, or third-party actions is not covered under standard support.

Clients not on a maintenance plan are advised to back up their website regularly or may request ad hoc support at our hourly rate.

 

10. Use of Third-Party Tools and Integrations

  • Some services may rely on third-party tools (e.g., WhatsApp API, Mailchimp, Google Analytics, CRMs).

  • The client is responsible for all third-party platform subscriptions unless stated otherwise.

  • We are not responsible for outages, policy changes, or data loss caused by external platforms.

 

11. Data Protection & Privacy

  • All client data is treated with confidentiality.

  • We do not share your personal or business information with external parties unless legally required.

  • We comply with relevant data privacy standards and use secure tools for communication, file transfer, and storage.

 

12. Limitation of Liability e-Porte Systems will not be held liable for:

  • Losses due to hosting or domain issues outside our control

  • Revenue loss from ad platform bans, account suspensions, or policy updates

  • Hacks or breaches caused by outdated client-managed plugins or poor hosting

  • Any indirect or consequential damages resulting from the use or inability to use our services

Our maximum liability shall not exceed the total amount paid by the client for the specific service in question.

 

13. Service Termination & Suspension We reserve the right to suspend or terminate services if:

  • Invoices remain unpaid for over 7 days

  • The client breaches these Terms or behaves abusively

  • The project scope becomes unmanageable or misaligned without mutual agreement

Termination notices must be made in writing by either party. Upon termination, work completed to date will be invoiced.

 

14. Governing Law & Dispute Resolution These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or related to our services will be resolved:

  • First through informal communication and resolution

  • Then, if necessary, through mediation or arbitration in Lagos, Nigeria

 

15. Updates to These Terms We may update these Terms at any time without prior notice. The latest version will always be available at https://eporte.net/terms. Continued use of our services constitutes your acceptance of the revised terms.
